“Rael Beauty GMV Contest”

Rael, Inc., located at 6940 Beach Blvd., Suite D-301, Buena Park, CA 90621 (the “Company”, “Rael”, “we”, “us” or “our”) is sponsoring this Rael Beauty GMV Contest (the “Contest”). By participating in the Contest, the entrant (the “Entrant”, “you” or “your”) agree to be bound by the terms of this Official Rules & Terms and Conditions (the “Official Rules”) and the decisions of Rael, which are final and binding in all respects.

This Contest is not sponsored, endorsed, or administered by or associated with TikTok. Any questions, comments, or complaints regarding the Contest must be directed to Rael, not TikTok.

Rael utilizes EukaAI Corporation (“Euka”), a third party TikTok Shop affiliate marketing platform, to help administer and manage this Contest, including GMV tracking. Euka is acting solely as an administrator of this Contest and is not a sponsor of the Contest.

1. Eligibility. To be eligible to participate in the Contest, you must receive a direct invitation link to the Contest from Rael, and, at the time of entry and throughout the Contest Period (as defined below):

• Be at least eighteen (18) years of age or older;
• Be a legal resident of, and physically located within, the fifty (50) United States and the District of Columbia;
• Be approved TikTok Shop Affiliate in good standing; and
• Be in compliance with this Official Rules, TikTok policies, Euka policies, and other
  applicable laws.

No purchase is necessary to enter or win. Purchasing a refundable sample will not increase your chances of winning. If you choose to purchase a refundable sample, your account will be automatically refunded for that purchase from TikTok after your first eligible sale.

Employees, officers and representatives and members of the immediate families (i.e., parents, spouses, siblings, children, grandparents, step parents, step children and step siblings, and their respective spouses, and those living in the same household, whether or not related) of Rael and its affiliated companies, parent companies, subsidiaries, participating promotional partners, retailers, distributors, advertising and promotion agencies, webmasters and any company involved in the creation, design, execution, production, or fulfillment of the Contest are not eligible.

2. Contest Period. The Contest begins on July 20, 2026 at 2:00pm PST and ends on September 18, 2026 at 11:59PM PST (the “Contest Period”). Only contents posted and gross merchandise value (“GMV”) generated within the Contest Period will be counted toward prize
eligibility.

3. How to Enter. Scan the QR code provided in the direct invitation link you received from Rael and opt into this Contest through Euka. Post TikTok shoppable videos go live, or generate GMV from your Showcase during the Contest Period and tag Rael’s official TikTok Shop product listings.

GMV is tracked through Euka, so you must opt in through Euka to enter the Contest. Posting a video without opting in through Euka will not count as a valid Contest entry.

This Contest is by invitation only. The invitation link is non-transferable and may not be shared, published, sold or otherwise distributed to any other person. Any entry submitted using an invitation link by someone other than the original invitee is invalid and will be disqualified. The original invitee may also be disqualified from this Contest at Rael’s sole discretion.

GMV generated outside the Contest Period or outside TikTok Shop is not eligible.

4. Prize Redemption. Within thirty (30) days following the end of the Contest Period, Rael will review all GMVs tracked through Euka and reach out to each individual winner.

5. Target Tiers and Prizes.

• Tier 1: $50,000+ GMV
  • Los Angeles, California Experience – Airfare and hotel accommodations are included with a maximum value of up to $2,000. The travel dates, accommodations, itinerary and other details of the trip will be determined by Rael in its sole discretion (Approximate Retail Value (“ARV”) $2,000
  • Five (5) years of free Rael restocks (ARV $3,000)
• Tier 2: $20,000-$49,999.99 GMV
  • $1,000 Cash
  • Two (2) years of Rael PR package (ARV $1,500)
• Tier 3: $10,000-$19,999.99 GMV
  • Free Rael restocks for one (1) year (ARV $750)
  • Roaming with Rael Suitcase (ARV $300)
  • Lola blanket (ARV $250)
• Tier 4: $5,000-$9,999.99 GMV
  • $750 Cash
  • New launch VIP Mailers (ARV $150)
• Tier 5: $1,000-$4,999.99 GMV:
  • Early access to launches
  • Free Rael PR package (ARV $100)

6. Contest Winner Determination. There will be one (1) winner for each prize tier. The first Entrant to reach the applicable tier’s GMV threshold during the Contest Period, as determined by the GMV data tracked through Euka, will be the winner of that tier. Each Entrant is eligible to win only one (1) prize tier. If you are the first to reach the GMV threshold for more than one (1) tier, you will be awarded only the highest tier for which you were first to qualify. Any lower tier(s) you reached first will instead be awarded to the next eligible Entrant.

Only content that complies with this Official Rules, TikTok policies, Euka policies, and other applicable laws will quality. Total GMV will not include any refunds, returns, and cancellations, as reported by TikTok Shop following the Contest Period and a reasonable reconciliation period.

7. Contest Winner Notification and Prize Terms. Rael will begin notifying winners after verification via email on or around November 1, 2026. You may be required to sign and return an affidavit of eligibility, liability release, a publicity release (except where prohibited), and any other documentation reasonably requested by Rael, and to provide a completed Form W-9, before any prize can be distributed. If you do not comply within thirty (30) days of Rael’s requests, the prizes may be forfeited.

Total ARV of all prizes offered in the Contest will not exceed $5,000. The ARV is subject to change based upon current market conditions at the time of prize fulfillment. Any difference between the ARV and the actual value, if any, will not be awarded. All prize details not specified in these Official Rules will be determined in Rael’s sole discretion. If for any reason a prize is unavailable or any prize or related event is delayed, cancelled or postponed, or for any other reason, Rael reserves the right to modify the Contest in its sole discretion and award a substitute prize, or portion of a prize, of comparable or greater value as set forth in these Official Rules. No substitution, transfer, assignment or cash equivalent of a prize, or any portion thereof, is permitted by a winner. Rael shall have no responsibility or obligation to a winner who is unable or unavailable to, or who does not for any reason, accept or utilize a prize. All costs and expenses not specifically listed above as part of a prize are solely the winner’s responsibility. Each prize is provided “as is”. Entrants acknowledge that Rael neither made, nor are in any manner responsible or liable for, any warranty, representation or guarantee, express or implied, in fact or in law, relative to a prize, including any express warranties provided by any prize supplier that are sent along with a prize and any implied warranty of merchantability of fitness for a particular purpose. Any prize pictured in online, television and print advertising, promotional packaging and other Contest materials are for illustrative purposes only.

Rael will report the prize value to the IRS via Form 1099, as required by law. All U.S. federal, state and local tax liability, and any other costs and expenses associated with acceptance or use of a prize not specifically provided for in these Official Rules are solely the winner’s responsibility.

Failure to respond, comply, or meet eligibility requirements may result in disqualification. Rael is not responsible for notifications lost, delayed, or misdirected due to inaccurate contact information provided by the Entrant.

8. Content Requirements and Disqualification.

All contents must:

• Be original;
• Not feature generative AI;
• Feature one or more of Rael’s products available on Rael’s TikTok Shop;
• Not contain profanity, hate speech, nudity, false or misleading claims, or include any elements that violate any third party’s copyrights or trademark rights;
  
• Not depict any individuals that have not granted permission to be featured;
  
• Not be boosted as ads during the Content Period; and
  
• Comply with TikTok policies, Euka policies, and any other applicable laws, including any applicable FTC endorsement and disclosure requirements.

Rael reserves the right to disqualify entries if Rael determines, at its sole discretion, such entry does not meet the content requirements, involves fraudulent, incentivized, or fake engagement, or otherwise violates the Official Rules, TikTok policies, Euka policies, or other applicable laws.

9. Data Rights. By entering the Contest, you authorize Rael, Euka, and other third party administrators of this Contest (if any) to access and use TikTok Shop affiliate performance data (including GMV) associated with your account for purposes of tracking and verifying results of this Contest. You acknowledge and agree that by opting into this Contest through Euka, your entry, TikTok Shop affiliate performance data and other information necessary to administer this Contest will be processed through Euka.

10. Publicity Rights. By entering the Contest, you grant Rael a nonexclusive, worldwide, royalty free, sublicensable license to use, reproduce, repost, and display your qualifying Contest contents (in whole or in party) across Rael’s own marketing channels, including TikTok Shop, website, and other social media accounts. In addition, you consent to Rael’s use of your name, TikTok handle, likeness, and GMV results for promotional and advertising purposes without additional compensation.

11. Limitation of Liability. By entering the Contest, you agree that Rael is not responsible for, and shall not be liable to any Entrant for:

• Lost, delayed or misdirected entries;
  
• Unauthorized human intervention;
• Errors in tracking GMV data or errors in any other data reporting provided by TikTok Shop or Euka;
• Damages, injuries, or losses of any kind arising from participation in the Contest or prize use;
• Lost or stolen prize packages; or
• Technical issues, platform outrages, or prize fulfillment delays.

12. Privacy. By participating in the Contest, Entrants hereby agree that any personal information collected in connection with this Contest will be used for Contest administration and promotional and advertising purposes, and will be subject to be treated in a manner consistent with Rael’s website Terms of Services accessible at: https://www.getrael.com/pages/terms-of-service and Rael’s Privacy Policy available at: https://www.getrael.com/pages/privacy-policy-2.

13. Indemnification. Entrants agree to indemnify, defend, and hold harmless Rael, its affiliates and their respective officers, directors, employees, and agents from all claims, damages, liabilities, losses, costs and expenses (including reasonable attorneys’ fees) arising from or relating to the Contest or their participation in the Contest.

14. Force Majeure. Rael shall not be liable for any failure or delay in performing its obligation under this Contest if such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes, labor disputes, embargoes, government orders, pandemics, telecommunication or internet failures, or third-party platform outages.

15. Binding Arbitration and Class Action Waiver. Except where prohibited by law, Entrant agrees: (a) any dispute, controversy or claim arising out of or relating to the Contest or any prize awarded shall be resolved individually, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (b) any dispute, controversy or claim arising out of or relating to the Contest or any prize awarded shall be resolved by binding arbitration conducted by JAMS in accordance with JAMS Comprehensive Arbitration Rules and Procedures (the “JAMS Rules”); (c) any arbitration shall be heard by one arbitrator to be selected in accordance with the JAMS Rules, in Orange County, California; (d) judgment upon any award rendered may be entered in any court having jurisdiction thereof; and (e) any award or judgment shall be subject to all limitations and releases set forth in these Official Rules and be limited to actual out of pocket damages, and shall not, in any event, include any punitive, exemplary, consequential or incidental damages, attorneys’ fees or costs of bringing a claim, or any injunctive or other equitable relief. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

16. Governing Law. All federal, state and local laws and regulations apply. Void where prohibited by law. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Rael in connection with the Contest, shall be governed by, and construed in accordance with, California law without giving effect to any choice of law or conflict of laws rules (whether of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than California.

17. Modifications and Termination. Rael reserves the right to cancel, suspend, modify, or extend the Contest, or any part of it, if fraud, technical failure, TikTok platform changes, or any other factor beyond Rael’s reasonable control impairs the integrity of the Contest.
